Terms of Service

These Terms govern access to and use of Searchspeare, including private CAT workspaces, local and cloud storage, AI/API integrations, subscriptions, and business tools.

Version 2026-10-28 · Last updated: October 28, 2026

Acceptance

By selecting Create account or Continue with Google on the account-creation page after being presented with the legal notice, the user agrees to the current Terms and acknowledges the Privacy Policy. The Data Processing Addendum is incorporated into the Terms where applicable. Searchspeare records the accepted document versions, acceptance method, account identifier, and server timestamp. If the user acts for an organization, employer, or client, the user confirms authority to bind that organization and process its work. Users must be at least 18 or the age of legal majority and able to contract.

Accounts and security

Users must provide accurate account information, protect credentials, keep API keys secure, and promptly report unauthorized access. Searchspeare may suspend access when needed to protect the service, other users, or legal compliance.

  • Account access may use email/password, recovery links, Supabase sessions, and Google OAuth where available.
  • Use of Google sign-in is also subject to Google's terms and privacy policy.
  • Users are responsible for actions taken through their account unless caused by Searchspeare's breach of its own obligations.
  • Users consent to receive transactional electronic communications needed for account security, service operation, billing, legal notices, and support. Marketing messages, if introduced, must provide the legally required choice and unsubscribe method.

Private workspace

Searchspeare is designed as a private CAT tool workspace. User projects, translation memories, terminology, files, invoices, quotations, clients, todos, settings, and related content are private to the account and authorized workspace access.

  • Searchspeare does not sell user information.
  • Searchspeare does not divulge user content except as needed to provide the service, process user-selected integrations, comply with law, enforce terms, or protect security.
  • Each party must protect the other party's non-public business and technical information with reasonable care, use it only for this agreement, and disclose it only to personnel and providers who need it and are bound by confidentiality. This does not cover information lawfully public, independently developed, already known without duty, lawfully received from another source, or required to be disclosed by law after permitted notice. These duties survive termination while the information remains confidential, and trade-secret duties survive as long as the law protects them.
  • Users remain responsible for exported files, downloaded documents, copied text, and content they share outside Searchspeare.

User content and client confidentiality

Users keep ownership of their source files, translations, translation memories, termbases, client records, invoices, quotations, prompts, and other content. Users grant Searchspeare the limited permission needed to host, process, sync, display, transform, export, and support that content through the app.

  • Users must have the rights and permissions needed to upload, translate, process, store, export, and send content to selected providers.
  • Users keep ownership of their content and grant Searchspeare a worldwide, non-exclusive, limited license to host, reproduce, transmit, transform, and display it only as necessary to provide, secure, support, and comply with the service. This license ends when the content is deleted, subject to backup, legal, and provider-retention constraints.
  • Professional translators should confirm that client contracts allow cloud storage, local storage, AI processing, machine translation, and provider routing before using those features.
  • Users must not upload unlawful content or use Searchspeare to violate privacy, confidentiality, intellectual property, export-control, sanctions, or professional obligations.

Data Processing Addendum

For workspace content that a user processes for a client, employer, or other controller, the Data Processing Addendum page is incorporated into these Terms. Searchspeare acts as processor or sub-processor only to provide the service under the customer's documented lawful instructions, including these Terms, configuration, support requests, and product actions.

  • Searchspeare personnel and service providers with access to workspace content must be subject to confidentiality obligations appropriate to their role.
  • Searchspeare may use subprocessors needed to operate the service, including Supabase, Cloudflare, Polar, Google OAuth, and selected AI/API providers. Users must verify selected AI/API providers before sending personal, confidential, regulated, or client-restricted content.
  • Searchspeare applies the technical and organizational measures described in the Privacy Policy and Data Processing Addendum, including authentication, access controls, secure transmission, credential protection, and data minimization.
  • Searchspeare will provide reasonable assistance for data subject requests, security incidents, DPIA support, and supervisory-authority requests where required by GDPR and where the request concerns data controlled by Searchspeare.
  • When service processing ends, Searchspeare will delete or return cloud workspace content according to the product controls, account deletion process, legal requirements, security needs, dispute needs, accounting obligations, and backup constraints.
  • Searchspeare will make available reasonable information needed to demonstrate compliance with these Data Processing Terms and will support audits or inspections where GDPR requires them, subject to confidentiality, security, and reasonable scope controls.
  • International transfers are handled according to the GDPR page, provider DPAs, adequacy decisions, Standard Contractual Clauses, and supplementary measures where required.
  • If the Data Processing Addendum conflicts with these Terms on processing customer personal data, the Addendum controls for that processing. Mandatory data-protection law controls over both.

AI, machine translation, and external APIs

Searchspeare includes AI-assisted and API-backed translation, review, chat, terminology extraction, QA, alignment, image analysis, text recognition, model selection and DeepL functions. Depending on the online feature selected by the user, prompts, segments, document content or images may be sent to OpenAI, Google Gemini, OpenRouter and an underlying model provider, DeepL, or Mistral AI.

Each provider is responsible for operating its service under its applicable terms. Searchspeare remains responsible for its own obligations and for providers selected by Searchspeare. Users must have the rights and authority needed to submit content and use connected services.

  • AI and machine translation output can be inaccurate, incomplete, unsafe, or unsuitable. Users are responsible for reviewing output before professional use or delivery.
  • AI-generated suggestions and classifications are identified as AI-assisted features in the product context and require meaningful human review. Searchspeare does not use them to make solely automated decisions that produce legal or similarly significant effects.
  • For selected models, Searchspeare uses the OpenAI API. OpenAI states that API data is not used to train its models by default unless the account holder opts in. OpenAI's current service terms, data controls, and Data Processing Addendum apply.
  • When using a user-supplied API key, the provider relationship, provider charges, permitted use, and provider legal terms are the user's responsibility.
  • Searchspeare does not guarantee legal, medical, financial, technical, or linguistic correctness of AI output.
  • If OpenRouter is used, users must also verify the selected underlying model provider's policies.
  • Document import, conversion and export run natively inside Searchspeare on the user's device and do not require a hosted document-conversion service. Online AI text recognition and image analysis are separate, user-selected features that send the content needed for the request to the selected AI provider. Cloud storage and synchronization apply only when enabled by the user.

Subscriptions and billing

Paid plans, checkout, customer portal access, subscriptions, refunds, and payment status are handled through Polar where offered. Polar is the merchant of record and authorized reseller for the transaction. The price, taxes, renewal interval, recurring nature, and cancellation method shown immediately before purchase control that order.

  • Payment and checkout data is processed by Polar and its payment partners under Polar's buyer terms and privacy policy.
  • A recurring subscription renews and is charged at the displayed interval until canceled. Users can cancel through the self-service customer portal or the support route shown at checkout; cancellation is effective for the next billing cycle unless mandatory law requires otherwise.
  • Searchspeare or Polar will give legally required advance notice of price increases or material subscription changes and obtain renewed consent where required. Changes apply only as permitted by the order and applicable law.
  • Users are responsible for tax, billing, invoice, and accounting information they enter into Searchspeare.
  • Searchspeare may limit paid features if payment fails, a plan expires, a refund is issued, or usage exceeds applicable limits.

Consumer withdrawal, refunds, and mandatory rights

Nothing in these Terms limits non-waivable consumer guarantees, withdrawal rights, remedies, cooling-off periods, or unfair-contract protections. Polar's buyer terms govern the purchase transaction and refund administration, while these Terms govern the Searchspeare service license.

  • Where an EEA, UK, or other consumer has a statutory 14-day or other cooling-off right, the consumer may exercise it through the Polar checkout/support process or by contacting gdpr@searchspeare.com with the order email and request. Searchspeare will coordinate the request with Polar.
  • Digital service may begin immediately after purchase at the consumer's request. Searchspeare will not treat use alone as a waiver or loss of a statutory withdrawal right unless all legally required express-consent and acknowledgement conditions have been met.
  • Refunds are assessed under mandatory law, the checkout refund disclosures, Polar's buyer terms, and card-network rules. No 'no refund' statement overrides mandatory rights.
  • Consumers may contact gdpr@searchspeare.com. Portuguese consumers may use the Electronic Complaints Book at livroreclamacoes.pt and may refer an eligible unresolved consumer dispute to the nationwide CNIACC consumer information and arbitration center at cniacc.pt, without limiting access to courts or another competent entity.
  • Consumers keep the mandatory protections and courts available under the law of their habitual residence.

Acceptable use

Users must use Searchspeare lawfully and professionally. The app must not be used to attack systems, bypass security, overload services, infringe rights, process content without authority, or misuse AI providers.

  • Do not reverse engineer security controls, scrape non-public data, interfere with availability, or attempt unauthorized access.
  • Do not upload personal data, confidential files, or regulated information unless you have a lawful basis and authority to process it in Searchspeare and selected providers.
  • Comply with AI/API provider usage policies, including model safety, prohibited-use, content, rate-limit, and billing rules.

Searchspeare intellectual property and license

Searchspeare and its licensors retain all rights in the service, software, interfaces, documentation, branding, models of operation, and improvements, excluding user content and third-party open-source components governed by their licenses.

  • During the subscription or permitted free-access term, Searchspeare grants the user a limited, non-exclusive, non-transferable, revocable right to use the service for the user's internal professional or personal translation work in accordance with these Terms.
  • Except where mandatory law permits, users must not sell, sublicense, copy, scrape, bypass access controls, reverse engineer, interfere with, or use the service to build a substantially competing service. This does not restrict rights granted by an applicable open-source license.
  • If a user voluntarily submits product feedback, the user grants Searchspeare a perpetual, worldwide, royalty-free right to use it without identifying the user or exposing workspace content. This does not transfer ownership of user projects or translations.
  • Third-party software, APIs, and content remain subject to their applicable licenses and provider terms.

Availability and changes

Searchspeare may change, suspend, remove, or improve features, models, plans, storage behavior, or integrations. The app may be unavailable because of maintenance, provider outages, browser storage limits, local device conditions, or third-party service issues.

Disclaimers and liability

Searchspeare is a professional productivity tool provided as available. Users remain responsible for final translations, deliveries, confidentiality decisions, exports, billing documents, legal compliance, and client obligations. Nothing excludes liability that cannot lawfully be excluded, including applicable liability for fraud, willful misconduct, gross negligence, death or personal injury, or mandatory privacy and consumer obligations.

  • Searchspeare does not provide legal, tax, accounting, or professional translation certification advice.
  • Users should maintain appropriate backups of important source files, exports, translation assets, invoices, and client records.
  • Third-party providers are responsible for their own services, APIs, contracts, security, and availability. Searchspeare does not control provider output or outages, but this does not remove Searchspeare's own obligations for provider selection, configuration, instructions, or legally required safeguards.
  • For business users and to the maximum extent permitted by law, neither party is liable for indirect, special, incidental, exemplary, or consequential loss, or loss of profit, revenue, goodwill, or anticipated savings, except for amounts owed under an indemnity or liability that cannot be limited.
  • For business users and to the maximum extent permitted by law, each party's aggregate liability arising from the service is limited to the greater of EUR 100 and the fees paid or payable for Searchspeare during the three months before the event giving rise to the claim. This cap does not apply where limitation is prohibited by law. Consumer liability is governed by mandatory consumer law.

Business-user indemnity

This section applies only when the customer uses Searchspeare in a trade, business, craft, or profession and does not reduce non-waivable consumer rights.

  • The business customer will defend and indemnify Searchspeare against a third-party claim arising from the customer's unlawful content, lack of rights or authority, breach of client confidentiality, prohibited use, or violation of a provider's terms, except to the extent caused by Searchspeare's breach or misconduct.
  • The indemnified party must give prompt notice, reasonable cooperation, and control of the defense to the indemnifying party. No settlement may admit fault or impose non-monetary duties on the indemnified party without consent, not to be unreasonably withheld.
  • This indemnity does not cover a claim that Searchspeare could reasonably have prevented by complying with its own data-protection, security, confidentiality, or contractual obligations.

Termination

Users may stop using Searchspeare and request account deletion. Searchspeare may suspend or terminate access for material breach, security risk, non-payment, unlawful use, abuse, or legal requirement. Some records may be retained where legally required or necessary for disputes, security, billing, or accounting.

Changes and notices

Searchspeare may update these Terms or incorporated documents to reflect law, security, providers, or service changes. Material adverse changes will be notified by email or a prominent in-app notice before they take effect where required. The effective version and date will be published, and renewed affirmative acceptance will be requested when law or the nature of the change requires it. If a user rejects a material change, the user must stop the affected service and may cancel future subscription periods.

General terms

These Terms, the Privacy Policy, Data Processing Addendum, and applicable checkout order form the agreement for Searchspeare.

  • Neither party is liable for delay or failure caused by events beyond reasonable control, except payment obligations and duties that can still reasonably be performed. The affected party must mitigate and resume performance promptly.
  • Users may not assign this agreement without Searchspeare's written consent. Searchspeare may assign it in connection with a reorganization, financing, merger, acquisition, or sale of the service, provided mandatory rights and data-protection safeguards continue.
  • If a provision is unlawful or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions remain effective.
  • A failure to enforce a provision is not a waiver. A waiver must be explicit and applies only to the stated instance.
  • Payment, ownership, confidentiality, data-protection, liability, indemnity, dispute, and record-retention provisions survive to the extent needed for their purpose.

Governing law

These Terms are governed by Portuguese law, subject to mandatory consumer or data protection rights that cannot be waived. Courts or authorities with competent jurisdiction in Portugal or the EU may apply where required by law.
